Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of TestBase, including our websites, products, and services. By accessing or using TestBase, you agree to be bound by these Terms. If you are using TestBase on behalf of an organization, you agree to these Terms on behalf of that entity and represent that you have authority to do so.

Account Registration & Responsibilities

You must provide accurate information when creating a TestBase account and keep your credentials secure. You are responsible for all activity that occurs under your account, including activity initiated by agents, containers, or third-party integrations you configure. Notify us immediately if you suspect unauthorized use.

License & Permitted Use

We grant you a limited, non-exclusive, non-transferable license to use TestBase in accordance with these Terms and any documentation we provide. You may not copy, modify, distribute, sell, or lease any part of TestBase. You may not reverse engineer or attempt to extract source code except where permitted by law.

Your Content

You retain ownership of code, prompts, data, and other content you upload or generate through TestBase (“Customer Content”). You grant us a limited license to host, process, and transmit Customer Content as necessary to provide the service. You are responsible for ensuring your use of TestBase and your Customer Content comply with applicable laws, including intellectual property, privacy, and export regulations.

• Do not upload content that is unlawful, infringing, or harmful.
• Ensure you have rights to grant access to tools or data connected via MCP servers.
• Respect third-party terms when integrating external services.

Platform Usage Guidelines

You agree not to misuse TestBase, including by interfering with other users, compromising security, attempting unauthorized access, or using the platform to develop or deploy malicious software. We may suspend or terminate access if you violate these Terms or if your use poses a risk to others or to the platform.

Beta & Experimental Features

We may make beta or experimental features available. These features are provided “as is,” may be subject to additional terms, and can be modified or discontinued at any time. You acknowledge that beta features may be less stable than generally available features.

Fees & Payment

Certain TestBase services may require payment. Fees and billing terms are described in your order form or within the product. Paid fees are non-refundable except where required by law. You are responsible for applicable taxes.

Confidentiality

Both parties agree to protect each other’s confidential information with reasonable care and to use such information only for purposes consistent with the relationship. “Confidential information” excludes information that is public, independently developed, or lawfully obtained from another source without restriction.

Warranties & Disclaimers

TestBase is provided “as is.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that TestBase will be uninterrupted, secure, or error-free.

Limitation of Liability

To the fullest extent permitted by law, TestBase will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability under these Terms shall not exceed the greater of $100 or the amounts paid by you to TestBase in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless TestBase, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of TestBase or violation of these Terms.

Term & Termination

These Terms remain in effect until terminated. You may stop using TestBase at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the platform. Upon termination, you remain responsible for outstanding fees and we will delete or return Customer Content in accordance with our data retention policies.

Governing Law

These Terms are governed by the laws of the State of California, excluding its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in San Francisco, California, and you consent to jurisdiction in those courts.

Changes to Terms

We may update these Terms to reflect changes to the service or applicable law. If we make material changes, we will provide notice (for example via email or within the product). Continuing to use TestBase after the effective date of updated Terms constitutes acceptance.
